Independent Director (finance/accounting expertise focus)

Background

As part of the company’s establishment and full operationalisation, NGP wishes to bring on board a second Independent Director, with a primary focus in finance and accounting matters. The Independent Director will serve for an appointed term on NGP’s Board and its Audit and Risk Committee.

 

Key responsibilities

  • Financial oversight: Review and challenge financial performance, budgeting, capital and liquidity planning (as applicable), and key financial metrics; ensure timely, accurate reporting to the Board.
  • Accounting and reporting quality: Provide leadership on complex accounting matters, estimates, and judgments; oversee compliance with Singapore Financial Reporting Standards (International) and relevant disclosure expectations.
  • Audit and assurance: Chair and/or serve as a key member to the Audit & Risk Committee (as appointed); oversee external audit scope, independence and effectiveness; strengthen internal controls and assurance plans.
  • Risk governance: Oversee financial and non-financial risk frameworks (including operational, technology, fraud, AML/CFT, model/outsourcing and third-party risks); ensure risk appetite is defined, monitored, and escalated appropriately.
  • Regulatory oversight (payments/financial services): Provide informed challenge on management’s approach to licensing/authorisation, ongoing compliance, regulatory reporting and supervisory engagement in Singapore.
  • Compliance culture: Support a strong tone-from-the-top and speak-up culture; monitor effectiveness of compliance programmes, policies, training and incident management.
  • Governance: Uphold high standards of corporate governance, independence, conflicts management and Board effectiveness; contribute to succession planning and senior appointments as required.
  • Stakeholder engagement: Where appropriate, support engagement with regulators, auditors, banking partners, scheme networks, key vendors and shareholders.

 

Qualifications and experience

  • Significant senior leadership experience (e.g., CFO, Deputy CFO, Finance Director, Audit Partner, Chief Risk/Compliance Officer with strong finance background) in financial services, fintech, payments, banking, capital markets, or closely related regulated sectors.
  • Deep expertise across financial accounting, financial reporting, budgeting/forecasting, treasury (where relevant), internal controls and audit committee practices.
  • Professional qualification such as CA, CPA, ACCA or equivalent; bachelor’s degree in accounting/finance/economics or related discipline.
  • Demonstrated ability to evaluate complex financial and operational issues, ask incisive questions, and exercise sound, independent judgement.
  • Experience serving on boards and/or board committees (Audit, Risk, Compliance, Technology/Transformation) is strongly preferred.
  • Strong working knowledge of the Monetary Authority of Singapore (MAS) regulatory environment and supervisory expectations for financial institutions and payment service providers.
  • Familiarity with the Payment Services Act 2019 and related subsidiary legislation/guidelines, including licensing categories, safeguarding of customer monies, security and resilience expectations, and incident reporting obligations (as applicable).
  • Understanding of AML/CFT obligations in Singapore (including customer due diligence, transaction monitoring, sanctions screening, suspicious transaction reporting, and governance of ML/TF risk assessments).
  • Appreciation of technology and operational risk expectations in regulated entities (e.g., cyber security, business continuity, outsourcing and third-party risk management, access controls, fraud controls).
  • Ability to interpret regulatory developments and translate them into Board-level risk appetite, governance, and oversight actions.
